Contract Management

XBuddy Contract Management is the legal control tower for every agreement your business enters. It runs a contract through its whole lifecycle — draft → review → sign → renew — while a risk register tracks exposure, a clause library and templates standardise language, and an AI assistant flags risky terms and upcoming renewals before they become problems.

Who uses it: legal and contracts teams drafting and reviewing agreements, deal owners in Sales generating contracts from won deals, approvers signing off on terms, and managers monitoring renewals and compliance obligations.

The core promise: no contract expires unnoticed, no risky clause slips through review, and every obligation has an owner.

Important features

The contract lifecycle

Every contract moves through defined stages so nothing sits in limbo and status is always clear to everyone involved.

Draft the contract

Go to Contract Management → All Contracts → New and draft from a template or clause library, filling in parties, value, and term.

Send for review

Move it to Pending Review; legal checks terms, and the AI assistant flags risky or non-standard clauses.

Sign and activate

Once approved, route it for e-signature; on execution the contract becomes signed/active with its obligations and renewal date tracked.

The Risk Register

The Risk Register turns contract risk from a gut feeling into a tracked list — which agreements carry exposure, why, and what’s being done about it.

Review flagged risks

Go to Contract Management → Risk Register to see contracts with elevated risk, including clauses the AI flagged.

Assess and assign

For each risk, record its severity and assign an owner to mitigate it.

Track mitigation

Update the risk as it’s negotiated out, accepted, or resolved, keeping a clear audit trail.

Templates and the Clause Library

Consistency and speed come from reuse. Templates give you a full contract skeleton; the clause library gives you pre-approved building blocks.

Start from a template

In Contract Management → Contract Templates, pick the template that matches the agreement type; it pre-fills structure and standard terms.

Insert approved clauses

Pull vetted language from Contract Management → Clause Library so wording stays consistent and legally sound.

Keep the library current

As standard terms evolve, update clauses centrally so every new contract draws on the latest approved language.

Renewals and obligations

Value leaks when renewals lapse or obligations go unmet. Contract Management surfaces both ahead of time.

See what’s coming due

The Overview and reports show contracts approaching their renewal or expiry date.

Get reminded

The Contract Lifecycle assistant nudges owners before key dates so renewals are negotiated in time, not scrambled at the last minute.

Track obligations

Milestones and obligations on each contract carry owners and due dates, so commitments are met and evidenced.

Integration points

Connects toHow the data flows
CRMWon deals generate contracts here, carrying counterparty, value, and terms straight from the deal so nothing is re-keyed.
E-SignaturesContracts are routed for electronic signature; on execution they return signed and move to active in the lifecycle.
DocumentsExecuted contracts and supporting files are stored and versioned in Documents for retrieval and audit.
ApprovalsContract sign-off routes through the shared Approvals engine, with review chains and audit trail.
FinanceContract value and payment terms feed billing schedules and revenue recognition.
AgentWhat it does

Signature StewardMonitors contracts out for signature, chases pending signatories, and flags agreements stalled before execution.

Common workflows

1. Draft, review, and sign a contract

  1. Create it in All Contracts → New from a template, inserting clauses from the library.
  2. Send to Pending Review; legal and the AI assistant vet the terms.
  3. Route for e-signature; on execution it becomes active with renewal and obligations tracked.

2. Generate a contract from a won deal

  1. A deal is marked won in CRM.
  2. A contract is generated here with the counterparty, value, and terms carried over.
  3. It enters the lifecycle at draft/review — no re-keying of deal data.

3. Manage a renewal

  1. The Overview flags a contract approaching expiry; the Contract Lifecycle assistant nudges the owner.
  2. Negotiate updated terms, drafting from the clause library.
  3. Route the renewal for signature before the current term lapses.

FAQ

What stages does a contract go through? Draft → pending review → signed/active → renewal (or expiry). Each stage has a clear status so everyone knows where an agreement stands.

How does AI risk analysis work? The Contract Lifecycle assistant scans contract text for non-standard or risky clauses and surfaces them in the Pending Review queue and Risk Register, with an owner able to assess and mitigate each.

What’s the difference between a template and a clause? A template is a full contract skeleton for an agreement type; a clause is a single pre-approved block of language you insert. Templates use clauses.

Where do contracts from deals come from? From CRM. When a deal is won, a contract is generated in Contract Management carrying the counterparty, value, and terms so you start from a populated draft.

How are contracts signed? Through the E-Signatures integration. Approved contracts are routed for electronic signature and return as signed/active, with the Signature Steward chasing any pending signatories.

Will I be warned before a contract expires? Yes. The Overview and reports show renewals due, and the Contract Lifecycle assistant nudges owners before key dates so renewals are handled in time.
